How Do I Go About Proposing To Her?

Ok, so.. this is the situation.. There's this girl that i really like, infact.. i've fallen for her. Now, i know that she too likes me. Although i am not sure whether she likes me exactly the way i feel about her. We often chat online, and talk to each other.. the problem here is that she is 3 years older than i am. Next, she's been in 2 different relationships that have turned complete disasters for her.. with both the guys abandoning her after her first date with them. Now she says that she does believe in love, but at the moment does not take love as love.. rather as frndshp.. So, what i am asking here is, how do I tell her that i love her, care for her, and adore her? I am afraid that she may not take it seriously and then.. well.. we may not be as close as we currently are... My friends have suggested that i just go ahead an propose, and then the rest is luck.. but i believe that there's a better way around.
