For you to succeed at losing weight and MAINTAINING the weight loss, I think both exercise and diet are important.
For exercise, go for e.g. weekly runs. If you can clock 5km, that would be great.
For diet, try to cut down on "unnecessary" food. Cut down to excessive fats, carbs, proteins, and calories. The only thing exempted is fibre I guess. :P

I can give a couple tips on both weight loss and weight gain, it probably dosen't work with everybody but it worked with me
with cerain changes to ones lifestyle and activities you can actually change your metabolisim, i've found that you can increase your metabolisim by insted of eating 3 medium to large meals a day you eat small snacks every couple hours and you get more physically active, like walking everywhere or riding a bike or something, it worked for me and by doing this I lost weight rather quickly I actually dropped several pant sizes in a few months doing that
as for weight gain i would imagine the opposite is the same and reducing physical activity and eating more would gain weight faster

The diet which helped me lose most weight was giving up meat, fish and diary. This took all of the saturated fat out of my diet and helped me lose a lot of fat.
